AXON CLOUD — Software License Agreement

This Software License Agreement (“Agreement”) is between AXON CLOUD, obrt za računalno programiranje, vl. Leonard Fedetov (“Licensor”, “AXON Cloud”) and the Customer organisation that uses AXON Cloud (“Licensee”).

1. Grant of licence

Subject to a valid paid subscription (or written trial) and the SaaS terms, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use AXON Cloud software as a service for Licensee’s internal business operations, for the contracted number of users, companies / branches and modules.

2. Ownership

Source code, object code, UI, schemas, documentation, APIs and the AXON Cloud brand remain the exclusive property of Licensor or its licensors.
Subscription fees purchase a right to use, not ownership of the software.
Data Licensee enters into AXON Cloud remain under Licensee’s control as controller — see DPA and Privacy policy.

3. Restrictions

Licensee shall not:

copy, redistribute, rent, lease or sublicense the software except as expressly allowed
reverse engineer beyond what mandatory law permits
remove copyright or proprietary notices
use the service to build a competing product from unauthorised access or scraping
exceed contracted capacity (users, API, storage) in a way that harms other tenants
share login credentials contrary to licence counts

4. Open-source components

AXON Cloud includes third-party open-source components under their own licences (e.g. MIT, Apache-2.0, BSD). Those licences continue to apply to those components. A bill of materials is available on reasonable request to [email protected].

5. Term and termination

The licence lasts for the subscription term and renewals. It ends on cancellation, non-payment or termination under the Terms of use / SaaS terms. On end of service, Licensee may export data within the agreed wind-down period; thereafter data are deleted or anonymised per the DPA.

6. Warranty disclaimer

Except as required by mandatory law or a signed SLA, the software is provided as available with professional care. Licensor does not warrant uninterrupted operation or fitness for every business purpose without configuration.

7. Liability

Liability is limited as stated in the SaaS terms. Nothing excludes liability that cannot be limited under Croatian law.

8. Governing law

Law of Republika Hrvatska. Courts of the Republic of Croatia, unless a written contract states otherwise.
